ARTICLES OF INCORPORATION

 

Article I.    Name of the Organization

Section 1.01    This organization is hereby named the South China Martial Arts Alliance hence forth referred to as SCMAA in this document.

Article II.    The Location

Section 2.01    The headquarters of this organization will be determined by the majority vote of the Executive Board and advertized to all membership.

Article III.    The purpose of the Organization

Section 3.01    Bring together martial artist to foster technique exploration and refinement; historical accuracy in martial arts evolution; sharing of instructional methodology and assistance in rank, title, and operational certification.

Article IV.    Projects

Section 4.01    Develop a media based format for the exchange of ideas and sharing of information to foster technique exploration and refinement, accuracy in martial arts evolution and sharing of instructional methodology.

Section 4.02    Provide guidelines and certificates for rank, title and operational certification.

Section 4.03    Promote community awareness of the benefits of martial arts participation.

Section 4.04    Support legitimate martial arts endeavors by martial arts organizations, schools and individuals.

Section 4.05    Provide appropriate activities to promote legitimate martial arts.

Section 4.06    Monitor SCMAA to ensure appropriate administration of activities, awards, titles and fund distribution.

Section 4.07    Engage in projects considered necessary to accomplish the mission of the Organization.

Section 4.08    Improve technical standards within the martial arts community.

Section 4.09    Develop and make available instructional media for educational purposes.

Section 4.10    Create a Youth Foundation to promote and foster youth awareness and participation in the martial arts.

Article V.    Membership

Section 5.01    The following are required submissions for an organization applying for SCMAA membership.

Item 5.01.1    Copy of all relative documents which provides insight into the organization’s formation, organizational structure and any and all information that provides the Executive Board with documentation for SCMAA membership evaluation.

Item 5.01.2    History of the organization.

Item 5.01.3    Listing of all associated schools and active membership including names, ranks and titles.

Item 5.01.4    Completion of the SCMAA membership application.

Item 5.01.5    Organization definition can be found in the SCMAA Policies and Procedures Document, Article VI., Section 6.01.

Section 5.02    The following are required submissions for a school applying for SCMAA membership.

Item 5.02.1    History of the school.

Item 5.02.2    Listing of all active membership including names, ranks and titles.

Item 5.02.3    Completion of the SCMAA membership application.

Item 5.01.4    School definition can be found in the SCMAA Policies and Procedures Document, Article VI., Section 6.02.

Section 5.03    The following are required submissions for an individual applying for SCMAA membership.

    Item 5.03.1    Copy of most recent certificate of promotion.

Item 5.03.2    Martial arts training history including a list of all instructors and acquired rank.

    Item 5.03.3    Completion of the SCMAA membership application.      

Section 5.04    Regular membership will be granted to martial arts organizations, schools and individuals whose submissions are approved by the Executive Board.

Section 5.05    Provisional membership will be for those organizations, schools and individuals who do not meet the requirements of regular membership status and are approved by the Executive Board for provisional membership status.

Section 5.06    Affiliate membership will be granted by Executive Board as it is necessary to accomplish the mission of the SCMAA.

Section 5.07    A SCMAA initial membership card shall be issued to a member in good standing.

Section 5.08    All membership fees will be submitted to the SCMAA Treasurer for appropriate deposit.

 

Article VI.    Executive Board Officials

    Section 6.01    The officials of SCMAA are as follows and comprise the Executive Board.

        Item 6.01.1    Chairperson

        Item 6.01.2    President

        Item 6.01.3    Vice-President

        Item 6.01.4    Secretary

        Item 6.01.5    Treasurer

Section 6.02    The Chairperson will represent SCMAA and provide operational oversight for the Organization.

Section 6.03    The President will act at the pleasure of the Chairperson and will be responsible for policy and procedures oversight and enforcement.  The President will also govern in the absence of the Chairperson.  The President will be responsible for all aspects of SCMAA activities and will facilitate their implementation.

Section 6.04    The Vice President will assist the President as requested and in the absence of the President, assume the responsibilities of the President.

 

Section 6.05    The Secretary will maintain all written documentation relative to SCMAA activities, record minutes at all Board meetings, maintain and distribute certificates as directed by the Board, disseminate written records as requested in a timely manner and assist the Treasurer as needed.

Section 6.06    The Treasurer will collect and distribute SCMAA funds as needed.  The Treasurer will maintain detailed accounting records of funds relating to SCMAA activities and will provide a monthly statement to the Board in regard to monies collected and distributed to support SCMAA activities.

Section 6.07    One person may serve as both Secretary and Treasurer if at a given time this best serves the operation of the SCMAA.

Section 6.08    Checks written for an amount greater than $250 require the signature of the Treasurer and either the President or Vice President and be approved by a majority vote of the Executive Board.

Section 6.09    The charter Executive Board officials will be appointed by the Chairperson or President and will serve a preliminary one year term.  The charter Executive Board officials’ positions will be re-evaluated at the end of the one year term and will be subject to re-appointment consideration by the Chairperson.

Section 6.10    An official’s term of office, except for charter Executive Board officials, is two years and the number of reappointments is not limited.

Section 6.11    An official may be terminated or reassigned by a majority vote of the Executive Board.

Section 6.12    Cause for removal would include, but not limited to, consistent absence from meetings or any other failure of duty.

Section 6.13    Any vacancy of an official by death, resignation or termination will be filled by a majority vote of the Executive Board.

Article VII.    Board of Directors

Section 7.01    The SCMAA Board of Directors shall exist of no more than ten members, five of which are Executive Board Members and the remaining five are General Board Members.

Section 7.02    A General Board Member’s term of office is two years and the number of reappointments is not limited.

Section 7.03    The function of the Board of Directors is to provide input and guidance to the Executive Board in matters dealing with policy and procedures.

Section 7.04    A Board of Director must be a SCMAA member in good standing.

Section 7.05    Any SCMAA member in good standing can submit a nomination for a person to serve on the Board of Directors.  This nomination should be sent to the Chairperson and President in writing in which the nominating person will provide supportive information for approval consideration.

Section 7.06    Board of Director nominations will be considered and approved or disapproved by the Executive Board by majority vote.

Section 7.07    Any and all SCMAA position openings will be posted on the SCMAA web site in a timely manner at the direction of the Executive Board.

Section 7.08    SCMAA membership holding positions which are coming to the end of their term limits will be notified and may submit a request in writing, to the Chairperson and President, of their desire to be considered for re-appointment.

Section 7.09    Each Board of Director should be a member in good standing and be at a minimum of 21 years of age.

Article VIII.    Advisors

Section 8.01    Advisors will provide input as needed to assist the SCMAA to carry out its mission statement.  An Advisor will provide input to the Executive Board and the Board of Directors and may attend Board meetings at the pleasure of the Chairperson or his or her designee.  An Advisor is not a voting member of the Board.

Section 8.02    Advisors will be approved and appointed by the Executive Board and may be recommended for inclusion by any SCMAA member in good standing.

Section 8.03    Advisors will serve until they no longer desire to continue as a SCMAA advisor or until the Executive Board terminates their position by majority vote.

Section 8.04    No advisor shall be paid for expenses or a salary unless approved by a unanimous vote of the Executive Board.

Article IX.    Meetings

    Section 9.01    Meetings of the Organization are as follows:

        Item 9.01.1    Annual General Meeting

  1. The Annual General Meeting is composed of all active membership and will be held annually at the discretion of the Executive Board.
  2. The date, time and location of the Annual General Meeting will be determined by the Executive Board and will be advertized in a timely manner.
  3. An emergency General Meeting may be called as necessitated by a majority vote of the Executive Board. 

        Item 9.0.1.2    Board Meeting

  1. The Board Meeting is called by the Chairperson or President as needed.
  2. The Board Meeting is to be attended by all members of the Board of Directors.
  3. The Board Meeting is to discuss and act upon the following items:
  1. Items commissioned by a General Meeting
  2. Items pertinent to the enrollment and withdrawal of members
  3. Projects and planning decisions
  4. Revision and/or abolishment of policies and procedures
  5. Financial considerations
  6. Actions to be taken in regard to membership violations

Item 9.01.3    Testing Committee Meeting

  1. The Testing Committee is composed of the members selected as representatives pertinent to providing an appropriate testing format and evaluation of those seeking promotion.
  2. A Testing Committee Meeting is called as needed by the Chairperson as directed by a majority vote of the Board of Directors.
  3. The Testing Committee will, by majority vote, decide on the date, time and location of a test activity.
  4. The Testing Committee will adhere to all promotion guidelines as prescribed in the SCMAA Promotional Regulations.

Item 9.01.4    Meeting participation may be in person or by other media platforms at the discretion and approval of the Executive Board via majority vote.

Section 9.02    All meetings will be conducted in accordance with Robert’s Rules of Order.

Article X.    Accounting

Section 10.01    The fiscal accounting year of this Organization is 1, January to 31, December annually.

Section 10.02    The Executive Board will determine and approve a budget for each fiscal year.  The budget may be updated and modified with the approval of the Executive Board by unanimous vote.

Section 10.03    All expenses generated by this Organization are paid from funds accumulated by membership fees, registration fees, testing fees and contributions.

Section 10.04    The Treasurer must administer all necessary duties as directed by the Organization Articles and must report the financial standing of the Organization at the first General Meeting following 31, December of the current fiscal year.

Section 10.05    Auditors will supervise the accounting procedures and whenever necessary may audit the accounting books maintained by the Treasurer.

Article XI.    Disqualifications of Officials and Members

Section 11.01    The officials and members of the Organization will be disqualified and will lose their right of membership whenever they commit any of the following:

        Item 11.01.1    Upon death

        Item 11.01.2    Upon written submission of withdrawal

Item 11.01.3    Failure to meet Organization financial responsibilities for more than one year

Item 11.01.4    When determined by the action of the Executive Board

Item 11.01.5    Whenever assigned responsibilities cannot be performed at an acceptable level

Article XII.    Changes to Articles    

Section 12.01    All other necessary Articles may be implemented or existing Articles changed by a majority vote of the Board of Directors.
